甲乙双方本着遵纪守法、诚实守信、平等互利、友好协商的原则签订本协议：
一、甲乙双方依据《中华人民共和国合同法》和《关于对外贸易代理制的暂行规定》，由乙方与甲方指定的境外供应商（以下简称外商）签订外贸进口合同，一切与外贸进口合同有关的权利、义务和责任由甲方承担；乙方在外贸进口合同中作为甲方的代理人，享有我国法律、法规及本协议约定的代理人权利，承担代理人义务。乙方依据甲方和外商提供的单证资料进行进口申报，因此甲方应保证单证资料真实、合法，与实际货物相符，不得有虚报、漏报、瞒报、夹带等违法行为，否则应承担相关责任和后果。本协议在任何情况下不导致甲乙双方之间产生购销合同关系。
二、甲方委托乙方代理进口下列货物：
甲方与外商之间的报价单确认由甲方另行提供给乙方，乙方籍以起草和签订外贸进口合同。
三、甲方义务：
1，按约定及时向乙方支付货款和各项费用；
2，进口货物如需办理免税，甲方需事先通知乙方，并在货物到港之前将有效的海关免税证明交给乙方，以作报关之用。如果该免税证明无效，由此产生的进口关税、增值税等由甲方承担。
四、乙方义务：
1，根据甲方提供的资料，及时起草并与外商签订外贸进口合同；
2，按照外贸合同要求，在收到甲方预付款后，及时对外开立信用证或对外付款；
3，及时办理进口机电审查、换单、报关、三检、提货等相关进口手续，使货物得以尽快清关。乙方送货至双方协议指定地点；也可委托乙方代办联系送货至指定地点，运输费用按实结算；
4，合同结束时，及时开具结算单，提供代理发票，与甲方进行合同结算。

1，外贸合同执行中如出现纠纷，需要索赔、退货或仲裁诉讼，甲方仍须按外贸合同付款条件要求先行对乙方支付各项款项，再与乙方一起依据法律向外商提出索偿，相关费用和风险责任以及可能出现的结果由甲方承担。任何情况下甲方均不得以此为借口拒付乙方合同款项；
2，甲方在所委托的业务中不得有低报价格、走私、骗税、骗汇等违法行为，否则应承担一切法律后果；如果乙方因此而受到行政处罚，甲方应承担所有罚款，并应对乙方因此受到的商誉损失作出相当于罚款金额的赔偿；
3，进口货物报关时，如果海关归类提高了关税税率或征税基价，损失由甲方承担，但乙方有义务配合甲方依法向海关解释和申诉；双方按约定结汇率或人民币总金额结算情况下，如果在合同履行过程中汇率变动较大，超过了2‰，双方结算金额据实调整；报关过程中如果由于海关等非乙方原因造成时间延误，费用增加或产生罚金，甲方应予以承担，系乙方原因造成的，由乙方承担；
4，任何一方如因不可抗力原因（包括国家政策调整和政府执法部门原因）不能履行本协议或外贸合同规定的全部或部分义务的，均可免除相应全部或部分的责任；不能按照合同规定的期限履行其义务的，免除其迟延履行的责任；
5，本协议一式二份，双方各执一份，签字盖章后生效。
